Organisational Structure
CVS is a registered charity and Company Limited by Guarantee. Under the Memorandum of Association (constitution) the objectives and aims are as follows:
“To promote any charitable purpose for the benefit of the community in the area known as the Metropolitan Borough of Wigan and in particular the advancement of education, the protection of health, the relief of poverty, distress and sickness and to provide or assist in the provision of recreational and other leisure time activity with the object of improving the conditions of life in the said community.”
Governance
There is a Board of Trustees which runs the organisation and who act as Company Directors.
The Board of Trustees is elected by the membership of Wigan and Leigh CVS at the Annual General Meeting. The Board may co-op other Trustees to ensure that they have the required skill base and can meet the governance needs of the organisation. Board members serve for three years before seeking re-election or standing down. The Trustees appoint officers from within the governing body. The Board has powers to appoint non-voting advisors. Wigan MBC appoints an elected representative and a relevant officer to the Board in an advisory capacity. Neither has voting rights.
The Board is responsible for the strategic development of the organisation and is the employer of CVS staff.
Day to day management of the organisation is the responsibility of the Chief Officer.
